As I understand it, board and members meetings are legally required to "occur" at some place and time, so it's not really easy to have them via email. I'm not sure if it's totally impossible to have them via email, but it's certainly harder. In any event, with regard to member's meetings, it's not like a whole lot is really "decided" during the IRC conversations, everything that's being said in the reports is basically cut and pasted into the channel, and it's all pretty transparent for those who aren't there. Board meetings are another case entirely, but having never listened in on one, I don't know how practical they'd be to hold via other means.
