quote from apache manual:
"The Listen directive instructs Apache to listen to only specific IP 
addresses or ports; by default it responds to requests on all IP interfaces. 
Listen is now a required directive. If it is not in the config file, the 
server will fail to start. This is a change from previous versions of 
Apache."

Do you mind if you copy out the listen directive part inc ase youe have 
overlooked something. Also, could you expalin what exact you want to setup.

If what Tim said is correct, I suggust you check if IIS is running since it 
is a different webserver than apache. If it is then I would uninstall it to 
see if it makes a difference.
