There yah go.  The first error says that the password file is not readable
to the User/Group specified in httpd.conf.  Most likely you want to do
something like this:
chmod +x /var
chmod +x /var/www
chmod +x /var/www/passwd
chmod +r /var/www/passwd/.htpasswd
(You may want to be a little more restrictive about that last one.  For
example, you could change the group ownership to the same as the Group in
httpd.conf, and then make it only group readable.)
