My virtual host for frontpage looks like this.

<VirtualHost _default_:8080>
	DocumentRoot /usr/local/frontpage/version5.0/admin-exes/
	php_admin_value safe_mode 0
	DirectoryIndex fpadmcgi.exe
	<Directory "/usr/local/frontpage/version5.0/admin-exes/">
		AddHandler cgi-script .exe
		Options ExecCGI
	</Directory>
</VirtualHost>

Check that there might be a problem with yours.

Allowoverride has to be all aswell.

Thanx to all who've gotten me this far.

Step #2
When I enter the administration pages (yes, I finally got that far), 
when I try to perform a function - like change the user's password - 
I get prompted for what to do with fpadmcgi.exe - as in save/open.

I know I'm not supposed to be seeing this - fpadmcgi.exe should be 
executing on my server!  What magic little configuration flag do I 
need to change to make Apache/Frontpage happy now?
