Dwayne is right, for my shebang on my Win2k server I use:

#!C:/perl/bin/perl.exe

I've got Apache2 with the ActiveState perl running just fine. I didn't do 
any Perl configuration in Apache, just put in that shebang line and 
everything works great.

I believe in the Windows world you must end the shebang line with 
'perl.exe'.
