No - they're the same thing.  I'm not sure why there are two of them in the conf directory.
  Use one or the other.

Don't worry about the differences for now. It just works.

you're interested, the JServ pages at should have all the information
you need about the different parameters.

Tomcat conf is really just an "include" for the JServ properties that is included with Apache.
 I think this was so it was easier to grasp because the JServ conf file is pretty complex
looking (event though it's not complex ;-)).
