Try, this...CDATA will look for that literal string and will not read it
as special chars. 

<replace dir="${server.dir}" value ="<" >
	<include name="*Control.cs" /> 
	<replacetoken><![CDATA[&lt;]]></replacetoken> 
	</replace>

Try escaping the & character xml-style with &amp; instead of \&
